TERMS AND DEFINITIONSService: A software and hardware platform operated by PATTERN AUTOMATION AGENCY, enabling partners to accept customer requests for developing autonomous agents, consulting services for enterprises, and chatbot development.
Mobile Application: The «PATTERN AUTOMATION AGENCY» mobile application (including all updates and improvements), enabling customers to place requests for the development of autonomous agents, consulting services for enterprises, and chatbot development.
PATTERN AUTOMATION AGENCY: A trademark owned by Daniil Biryukov, a self-employed individual.
Partners: Legal entities or individual entrepreneurs who have accepted the Offer to provide services for developing autonomous agents, consulting services for enterprises, and chatbot development.C
ustomer (Client): Any natural or legal person placing a request for services.
Employee: An individual performing services on behalf of a Partner under an employment or civil contract or acting as a self-employed individual.
ACCEPTANCE OF THE OFFER
The Partner accepts this Offer by:Placing an order on the PATTERN AUTOMATION AGENCY website.Submitting a request for services and confirming agreement with the terms outlined in this Offer.Acceptance of the Offer must be unconditional and in full. Partial acceptance is not permitted.
SUBJECT OF THE CONTRACT
Under this Agreement, PATTERN AUTOMATION AGENCY provides services for the development of autonomous agents, consulting services for enterprises, and chatbot development based on Customer requests.
RIGHTS AND OBLIGATIONS OF THE PARTIES
Customer ResponsibilitiesUse the services for legitimate purposes only.Transfer funds as specified in the Agreement.Maintain the confidentiality of registration data and promptly notify PATTERN AUTOMATION AGENCY of any security breaches.
PATTERN AUTOMATION AGENCY Rights
Inform Customers about the status of their requests.Modify the terms of this Agreement and publish updates on the Website.
PAYMENT AND ACCEPTANCE OF SERVICES
Service costs are calculated based on tariffs published on the PATTERN AUTOMATION AGENCY website.Payments can be made online or via invoice.Invoices and service reports will be issued electronically.
DURATION AND TERMINATION OF THE AGREEMENT
This Agreement becomes effective upon acceptance of the Offer and remains valid indefinitely.Either Party may unilaterally terminate the Agreement by notifying the other Party.
CONFIDENTIAL INFORMATION
Both Parties agree to maintain the confidentiality of all information designated as confidential and use it solely for purposes related to this Agreement.
PERSONAL DATA PROCESSING
PATTERN AUTOMATION AGENCY processes personal data in compliance with Regulation (EU) 2016/679 (GDPR).Responsibilities of PATTERN AUTOMATION AGENCY:Use personal data only for the purposes defined in the Agreement.Ensure confidentiality and security of personal data.Responsibilities of the Customer:Provide legal grounds for transferring personal data to PATTERN AUTOMATION AGENCY.Respect the confidentiality of data belonging to PATTERN AUTOMATION AGENCY employees and partners.
GOVERNING LAW AND DISPUTE RESOLUTION
For Customers within the European Union, this Agreement is governed by EU laws and the laws of the Member State in which PATTERN AUTOMATION AGENCY is registered.For Customers outside the EU, this Agreement is governed by the laws of the jurisdiction specified during the service agreement.Disputes shall first be resolved through negotiations. If unresolved, disputes will be subject to the applicable laws based on the Customer’s location.
FORCE MAJEURE
The Parties are not liable for non-fulfillment of obligations due to force majeure events, including natural disasters, acts of government, or other extraordinary circumstances.

Toodly DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TOODLY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ACKNOWLEDGE THAT TOODLY'S SERVICES MAY NOT ALWAYS PROVIDE COMPLETE OR FULLY ACCURATE INFORMATION OR ASSISTANCE, AND YOU AGREE TO INDEPENDENTLY VERIFY ANY INFORMATION OR SUGGESTIONS PROVIDED THROUGH THE SERVICES BEFORE RELYING ON THEM.
TOODLY SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY FOR ACTIONS TAKEN OR NOT TAKEN BASED ON INFORMATION OR SUGGESTIONS PROVIDED BY THE SERVICES.
IN NO EVENT SHALL TOODLY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF TOODLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

Audio Recording Compliance: Using the Services' audio capture features in "two-party consent" or "all-party consent" jurisdictions without obtaining proper consent from all participants. You acknowledge that Toodly captures and processes audio during meetings, which may constitute "recording" under applicable laws. Many jurisdictions, including several Russian cities, have laws that require all participants in a conversation to consent to being recorded. You are solely responsible for complying with these laws when using Toodly and assume full and complete liability for any legal consequences that may arise from failing to obtain necessary consent, including but not limited to civil penalties, criminal charges, or civil lawsuits. PATTERN AUTOMATION AGENCY. disclaims all liability related to your failure to comply with applicable recording consent laws;
IF YOU DO NOT WANT TO CONTINUE TO BE CHARGED ON A RECURRING MONTHLY BASIS, YOU MUST CANCEL THE APPLICABLE PAID SERVICE THROUGH YOUR ACCOUNT SETTINGS OR TERMINATE YOUR NISTARO ACCOUNT BEFORE THE END OF THE RECURRING TERM. PAID SERVICES CANNOT BE TERMINATED BEFORE THE END OF THE PERIOD FOR WHICH YOU HAVE ALREADY PAID, AND EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, TOODLY WILL NOT REFUND ANY FEES THAT YOU HAVE ALREADY PAID.
ARBITRATION NOTICE AND CLASS ACTION WAIVER:
EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION AGREEMENT SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
